Important Notice: Please read these Terms and Conditions carefully before engaging in any business transaction with Sidhvijay Albahar. By placing an order or entering into a contract, you agree to be bound by these terms.

Introduction & Company Overview

Welcome to Sidhvijay Albahar, a registered Import & Export company engaged in international trade and commerce. These Terms and Conditions ("Terms") govern all business transactions, agreements, contracts, and dealings between Sidhvijay Albahar ("Company", "We", "Us") and any buyer, seller, client, or partner ("Client", "You", "Your").

Sidhvijay Albahar operates as a global trading company specializing in the import and export of goods across international borders, ensuring compliance with all applicable trade laws, customs regulations, and international commerce standards.

Definitions

In these Terms and Conditions, the following definitions shall apply:

"Company" Refers to Sidhvijay Albahar, its directors, employees, and authorized representatives.
"Client / Buyer" Any individual, firm, or organization entering into a trade agreement with the Company.
"Goods" All products, materials, commodities, and merchandise traded through the Company.
"Order" A formal request placed by the Client for the purchase or sale of Goods.
"Incoterms" International Commercial Terms as published by the International Chamber of Commerce (ICC).
"FOB / CIF / CFR" Shipping terms as defined under Incoterms 2020 rules.
"L/C" Letter of Credit – A bank guarantee for payment in international trade.
"B/L" Bill of Lading – A shipping document issued by the carrier.

Scope of Services

Sidhvijay Albahar provides the following services in international trade:

Import of Goods

Procurement and import of raw materials, finished goods, and commodities from international suppliers.

Export of Goods

Export of UAE products, manufactured goods, and commodities to international markets.

Custom Clearance

Complete customs documentation, clearance, and compliance with trade regulations.

Trade Consultation

Advisory services on international trade laws, Incoterms, tariffs, and market entry strategies.

Quality Inspection

Pre-shipment and post-shipment inspection to ensure product quality standards.

Logistics Management

End-to-end supply chain management including warehousing, transportation, and freight.

Order Placement & Confirmation

Inquiry: The Client shall submit a written inquiry specifying the product details, quantity, quality specifications, and delivery requirements.

Proforma Invoice: Upon receiving the inquiry, Sidhvijay Albahar shall issue a Proforma Invoice (PI) detailing the price, payment terms, delivery schedule, and Incoterms.

Order Confirmation: The order shall be considered confirmed only upon receipt of the signed PI and advance payment (if applicable) from the Client.

Modification: Any modifications to the confirmed order must be communicated in writing within 48 hours. Additional charges may apply for modifications after production has commenced.

Cancellation: Orders cancelled after confirmation may attract a cancellation fee of up to 15% of the total order value, depending on the stage of execution.

Pricing & Payment Terms

5.1 Pricing
  • All prices quoted by Sidhvijay Albahar are in USD / INR unless otherwise specified.
  • Prices are subject to change based on market conditions, exchange rates, and raw material costs.
  • The quoted price shall remain valid for a period of 15 days from the date of the Proforma Invoice.
  • Prices are quoted based on the agreed Incoterms (FOB, CIF, CFR, EXW, etc.).
5.2 Payment Methods
T/T (Wire Transfer)

Advance payment via bank wire transfer

Letter of Credit (L/C)

Irrevocable L/C at sight or usance

D/P or D/A

Documents against Payment/Acceptance

30-50% advance, balance before shipment

5.3 Payment Terms
  • Standard payment term: 30% advance, 70% against copy of Bill of Lading (B/L).
  • For new clients, 100% advance payment may be required for the first order.
  • Late payment shall attract an interest of 2% per month on the outstanding amount.
  • All bank charges of the Client's bank shall be borne by the Client.

Shipping & Delivery

  • Shipping shall be arranged as per the agreed Incoterms in the Proforma Invoice.
  • Delivery timelines are estimated and may vary due to port congestion, weather conditions, customs clearance delays, or carrier schedules.
  • Sidhvijay Albahar shall not be liable for delays caused by factors beyond its control.
  • Part shipments and transshipments are allowed unless otherwise specified in the contract.
  • Shipping documents including Bill of Lading (B/L), Commercial Invoice, Packing List, Certificate of Origin, and Phytosanitary Certificate (if applicable) shall be provided to the Client.
  • The risk of loss shall transfer to the Client as per the applicable Incoterm.

Note: Delivery timelines mentioned in the contract are approximate. Sidhvijay Albahar will make reasonable efforts to meet the delivery schedule but cannot guarantee exact dates due to the nature of international shipping.

Customs & Import/Export Duties

  • All customs duties, import taxes, GST, and other government levies at the destination country shall be the responsibility of the Client/Buyer unless agreed otherwise.
  • Export duties and taxes at the origin country (UAE) shall be borne by Sidhvijay Albahar.
  • The Client is responsible for obtaining all necessary import licenses, permits, and regulatory approvals in their country.
  • Sidhvijay Albahar shall provide all required export documentation including IEC certificate, GST invoices, and shipping bills.
  • Any changes in government trade policies, tariffs, or sanctions that affect the transaction shall be communicated immediately to the affected party.

Quality Assurance & Inspection

  • All goods exported by Sidhvijay Albahar shall conform to the quality specifications agreed upon in the contract.
  • Pre-shipment inspection can be arranged upon Client's request at the Client's expense.
  • Third-party inspection agencies (SGS, Bureau Veritas, Intertek, etc.) can be engaged for quality certification.
  • Samples shall be provided upon request before bulk order placement.
  • Any quality claims must be raised within 14 days of receipt of goods with supporting photographic evidence and inspection reports.

Returns, Refunds & Claims

9.1 Returns
  • Returns are accepted only in case of manufacturing defects or wrong goods shipped.
  • Return requests must be submitted within 14 days of delivery with supporting evidence.
  • The cost of return shipping shall be borne by the responsible party.
  • Goods must be returned in their original packaging and condition.
9.2 Refunds
  • Refunds shall be processed within 30 business days after the returned goods are received and inspected.
  • Refunds shall be made through the original payment method.
  • Bank charges and currency conversion losses during refund shall be borne by the Client.
9.3 Claims
  • All claims for damaged or lost goods during transit must be filed with the shipping carrier/insurance company.
  • Sidhvijay Albahar will assist in the claims process by providing necessary documentation.
  • Claims must be filed within 7 days of delivery for visible damage and 14 days for concealed damage.

Insurance & Risk of Loss

  • Marine cargo insurance is recommended for all international shipments.
  • Under CIF terms, Sidhvijay Albahar shall arrange insurance coverage for 110% of the invoice value.
  • Under FOB/CFR terms, insurance shall be the responsibility of the Buyer.
  • The risk of loss or damage to goods shall transfer as per the applicable Incoterm.
  • Claims under insurance shall be filed directly with the insurance company by the insured party.

Intellectual Property

  • All trademarks, logos, trade names, and brand identity of Sidhvijay Albahar are the exclusive property of the Company.
  • No Client shall use, reproduce, or distribute any intellectual property of the Company without prior written consent.
  • Product designs, specifications, and proprietary information shared during business dealings remain confidential.
  • Any infringement of intellectual property rights shall be subject to legal action.

Confidentiality

  • Both parties agree to maintain strict confidentiality of all business information, pricing, trade secrets, and client details.
  • Confidential information shall not be disclosed to any third party without prior written consent.
  • This confidentiality obligation shall survive the termination of the business relationship for a period of 5 years.
  • Exceptions apply where disclosure is required by law or regulatory authorities.

Force Majeure

Neither party shall be held liable for failure or delay in performing obligations due to events beyond their reasonable control, including but not limited to:

Natural Disasters Fire & Explosions Pandemics & Epidemics War & Civil Unrest Government Actions Trade Sanctions & Embargoes Strikes & Labor Disputes Port Closures

The affected party must notify the other party in writing within 7 days of the force majeure event and provide reasonable evidence of the event.

Limitation of Liability

  • The total liability of Sidhvijay Albahar shall not exceed the value of the specific order/contract in question.
  • The Company shall not be liable for any indirect, consequential, incidental, or punitive damages.
  • Loss of profit, loss of business, or any economic losses arising from the transaction are not covered under liability.
  • Liability for delay in delivery shall be limited to a maximum of 5% of the order value as liquidated damages.

Governing Law & Dispute Resolution

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of UAE.
  • Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through mutual negotiation.
  • If negotiation fails, the dispute shall be referred to arbitration under the UAE Arbitration and Conciliation Act, 1996.
  • The seat of arbitration shall be in UAE, and proceedings shall be conducted in English.
  • The courts of UAE shall have exclusive jurisdiction over any legal proceedings.
Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of the courts located in UAE.

Sidhvijay Albahar operates in full compliance with:

  • Foreign Trade (Development and Regulation) Act, 1992
  • Customs Act, 1962
  • FEMA (Foreign Exchange Management Act), 1999
  • GST (Goods and Services Tax) Act
  • DGFT (Directorate General of Foreign Trade) guidelines
  • International Chamber of Commerce (ICC) Incoterms 2020
  • Anti-Money Laundering (AML) regulations
  • OFAC and international trade sanctions compliance

Amendments & Modifications

  • Sidhvijay Albahar reserves the right to amend, modify, or update these Terms and Conditions at any time without prior notice.
  • The latest version of the Terms shall be available on our website and shall supersede all previous versions.
  • Continued business engagement after any modification shall constitute acceptance of the updated Terms.
  • Material changes shall be communicated to existing clients via email or written notice.

By engaging in any business transaction with Sidhvijay Albahar, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from placing any orders or entering into any contracts with the Company.
